Sample Closing Statement definition

Sample Closing Statement means the sample calculation of (a) Net Working Capital, (b) Indebtedness, (c) Cash and Cash Equivalents, and (d) Transaction Expenses of the Group Companies as of December 31, 2019, in each case prepared in accordance with the Accounting Principles, and attached hereto as Exhibit C.

Sample Closing Statement shall have the meaning set forth in Section 2.16(a).

Sample Closing Statement means the sample calculation of Net Working Capital as of September 30, 2010 attached hereto as Exhibit G.

Examples of Sample Closing Statement in a sentence

• The Closing Statement shall set forth the calculations of such amounts in substantially the same format as the Sample Closing Statement and be prepared consistent with the definitions in this Agreement and in accordance with the Transaction Accounting Principles.

• The Post-Closing Statement shall (i) set forth in reasonable detail Purchaser’s good faith calculations of such amounts in substantially same format as the Sample Closing Statement, and in a manner consistent with the definitions in this Agreement and the Transaction Accounting Principles, and (ii) not reflect any accounting principles, policies, methods, practices, categories, estimates, judgments or assumptions other than the Transaction Accounting Principles.

• For the avoidance of doubt, the parties acknowledge and agree that the Sample Closing Statement is illustrative only, provided as an example only and any dollar amounts or calculations included in the Sample Closing Statement are not final or binding.

More Definitions of Sample Closing Statement

Sample Closing Statement means the calculation set forth on Annex B-2, in a manner consistent with the Accounting Principles, for illustrative purposes only, of the Business Working Capital and the Business Net Cash, in each case, as of December 31, 2017, including the line items to be included as assets and liabilities in the calculation of the Business Working Capital.

Sample Closing Statement means the sample statement of Net Working Capital, Debt and Cash attached to this Agreement as Exhibit E.

Sample Closing Statement means the statement set forth on Schedule 1.1(b) reflecting the Estimated Net Funds Employed, the Closing Premium, the Base Purchase Price and the other information included therein determined based on the Signing Data Tape.

Sample Closing Statement has the meaning ascribed to such term in Section 1.6(a).

Sample Closing Statement means the template, based upon the most recent balance sheet of FA and its Subsidiaries, set forth on Section 11.2(a) of the FA Disclosure Schedule and the GSM Disclosure Schedule.

Sample Closing Statement means the sample calculation of Closing Cash, Closing Indebtedness and Closing Working Capital as of December 31, 2013, and the Closing Adjustment as though the Closing had taken place as of such date, attached hereto as Exhibit 1.01(c).
