Sanctioned Party definition

Sanctioned Party means any persons, entities, bodies, or vessels designated by a Sanctioning Authority.

Sanctioned Party means, at any time, any Person, including any entity that is 50% or more owned or controlled, either directly or indirectly, by any Person who is (a) the subject of Sanctions, or (b) located in or resident of a Sanctioned Country.

Sanctioned Party means any person, body, entity, or vessel that is designated by a Sanctioning Authority.

Examples of Sanctioned Party in a sentence

• Licensee represents and warrants that (i) it is not a citizen of, or located within, an Embargoed Country, (ii) it will not use the Software for a Prohibited Use, and (iii) it is not a Sanctioned Party.

• Customer warrants and certifies that: (i) Customer is not a citizen, national, permanent resident of, or incorporated or organized to do business in, and is not under the control of the governments in a Sanctioned Country (as defined herein) and is not a Sanctioned Party (as defined herein) and shall not engage in any transactions or dealings with a Sanctioned Party, or in or with a Sanctioned Country.

Sanctioned Party means any persons, entities, bodies designated by a Sanctioning Authority.

Sanctioned Party means (1) any Person included on one or more of the Sanctioned Party Lists; or (2) any Person owned or controlled by, or acting on behalf of, a Person on one or more of the Sanctioned Party Lists.

Sanctioned Party means (i) any Person listed on (a) any of the restricted party lists maintained by the U.S. Government, including the Specially Designated Nationals List and Foreign Sanctions Evaders List administered by the U.S. Department of Treasury’s Office of Foreign Assets Controls, the Denied Parties List, Unverified List or Entity List maintained by the U.S. Department of Commerce Bureau of Industry and Security, and the List of Statutorily Debarred Parties maintained by the U.S. State Department’s Directorate of Defense Trade Controls, (b) the consolidated list of asset freeze targets designated by the United Nations, European Union, and United Kingdom, and any other applicable jurisdictions or (c) any other restricted party lists maintained by any Governmental Authority or non-Governmental Authority; or (ii) any Person fifty percent (50%) or more owned (either individually or in the aggregate, directly or indirectly) by any Person or Persons described in clause (i).

Sanctioned Party means (a) any individual or entity listed on any applicable sanctions or export-related restricted party list, including, without limitation, the OFAC’s Specially Designated Nationals and Blocked Persons List, the EU Consolidated List, in each case or any list of sanctioned or ineligible parties maintained by any other applicable government, as may be amended from time to time; or (b) any entity that is, in the aggregate, fifty percent (50%) or greater owned, directly or indirectly, or otherwise controlled by a person or persons described in clause (a). A “Sanctioned Country” is any country or region that is subject to comprehensive sanctions administered by the U.S. Department of Treasury, Office of Foreign Assets Control (“OFAC”) or administered by any other applicable government to which there is an applicable embargo on goods; (ii) Customer is eligible under U.S. and any other applicable law to receive exports of the Software; (iii) Customer will not sell, export, re-export, transfer, use, or enable the use of the Software, its related technology and Services, or any other items that may be provided by insightsoftware, directly or indirectly: (a) to or for end-use in or by a Sanctioned Country or any citizens, nationals or permanent residents of such Sanctioned Countries; (b) to or for end-use by any person or entity determined by any U.S. government agency or any other applicable country’s government agency to be ineligible to receive exports, including but not limited to Sanctioned Parties; and (c) to or for end-uses prohibited by applicable export or sanctions laws and regulations, including, but not limited to, activities involving the proliferation of chemical, biological or nuclear weapons, weapons of mass destruction or the missiles capable of delivering such weapons and their related technology.
