None of (a) the Borrower, any Subsidiary, or to the knowledge of the Borrower or such Subsidiary, any of their respective directors, officers, or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary acting in any capacity in connection with, or that will benefit from, the credit facility established hereby, is a Sanctioned Person.
None of the proceeds of any Borrowings will be used or permitted to be used (a) for the purpose of financing a payment to any Person in violation of applicable Anti-Corruption Laws, (b) for the purpose of financing any activity or transaction of or with any Sanctioned Person or in any Sanctioned Country or (c) in any manner that would result in the violation of any applicable Sanctions by any party hereto.
None of the Company or any Subsidiary or, to the knowledge of the Company, any director, officer, employee or agent of the Company or any Subsidiary, is a Sanctioned Person.
No proceeds of any Loan made hereunder will be used to fund any operations in, finance any investments or activities in, or make any payments to, a Sanctioned Person or a Sanctioned Entity, or otherwise used in any manner that would result in a violation of any Sanction, Anti-Corruption Law or Anti-Money Laundering Law by any Person (including any Lender, Bank Product Provider, or other individual or entity participating in any transaction).
No part of the proceeds of any Credit Extension will be used directly or indirectly to fund any operations in, finance any investments or activities in, or make any payments to a Sanctioned Person or a Sanctioned Country, nor in any other manner, in each case as would result in a violation of any Sanctions Law by, or could result in the imposition of Sanctions against, any Person (including Bank).
