Scoring Algorithm definition

Scoring Algorithm means any algorithm developed by or on behalf of employees or agents of either Party or its Divisional Affiliates or jointly by or on behalf of employees or agents of both Parties or their Divisional Affiliates in the course of Development Activities performed under any Project Schedule that is used to determine the expression level of one or more Biomarkers in patients or subjects. As used herein, “Scoring Algorithm” shall include any improvement or modification to an existing algorithm.
