SEC Waiver definition

SEC Waiver means the waiver related to certain financial statements and other financial information of the Business granted by the SEC on January 25, 2017.
SEC Waiver shall have the meaning set forth in Section 2.5(h) of this Agreement. Securities Act shall mean the Securities Act of 1933, as amended.
SEC Waiver means the waiver granted by the Commission pursuant to that certain letter dated February 15, 2019, relating to the filing of financial statements required under Rule 8-04 of Regulation S-X in connection with the Company’s acquisition of Biocon 1, LLC and Aether Water Systems, LLC.

  • Continuing Disclosure Undertaking means the Continuing Disclosure Undertaking of the Issuer, in substantially the form attached hereto as Exhibit 1, dated the Closing Date, for the purpose of providing continuing disclosure information under Rule 15c2-12 adopted by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as may be amended from time to time.

  • Continuing Disclosure Certificate means that certain Continuing Disclosure Certificate executed by the District and dated the date of issuance and delivery of the Bonds, as originally executed and as it may be amended from time to time in accordance with the terms thereof.

  • Continuing Disclosure Agreement means the Continuing Disclosure Agreement, as it may be modified from the form on file with the Clerk of Council and signed by the Mayor and the Fiscal Officer in accordance with Section 6, which shall constitute the continuing disclosure agreement made by the City for the benefit of holders and beneficial owners of the Bonds in accordance with the Rule.

  • Consent Solicitation Statement means the consent solicitation statement issued on June 15, 2020 by Odebrecht Engenharia e Construção S.A., among others.

  • Major Amendment means any change which is not a minor amendment.

  • Voting Agreement has the meaning set forth in the Recitals.

  • Conversion Agreement shall have the meaning set forth in the Recitals.

  • RBC report means the report required by K.S.A. 40-2c02, and amendments thereto.

  • Eleventh Amendment means that certain Eleventh Amendment to Credit Agreement, dated as of April 29, 2022, among Holdings, the Borrower, the other Credit Parties party thereto, the Administrative Agent, the Collateral Agent, the Lenders party thereto, the Revolving Letter of Credit Issuers and the various other parties party thereto.

  • Confidentiality Agreement has the meaning set forth in Section 6.3.

  • Stockholder Agreement means the Stockholder Agreement, dated as of August 29, 2003, among the Company and its stockholders, as amended and in effect from time to time.
