Second Lien Pari Passu Intercreditor Agreement means an agreement among each Second Lien Representative and each Second Lien Collateral Agent allocating rights among the various Series of Second Lien Obligations.
Second Lien Pari Passu Intercreditor Agreement means, as the context may require, (i) that certain Second Lien Pari Passu Intercreditor Agreement, to be dated as of the Escrow Release Date, among each Second Lien Representative, each Second Lien Collateral Agent, the Company, each Guarantor and the other parties thereto from time to time, allocating rights among the various Series of Second Lien Obligations, and (ii) any other intercreditor agreement that may be entered into after the Escrow Release Date by the Company, any Guarantor and the Collateral Agent in connection with Second Lien Obligations not otherwise prohibited by the Indenture (which is not materially less favorable to the Collateral Agent and the holders of the Notes (taken as a whole) than the intercreditor agreement referred to in clause (i) of this definition) (as certified to by the Company in an Officer’s Certificate delivered to the Trustee and the Collateral Agent), in each case, as it may be amended, restated, supplemented and/or otherwise modified from time to time in accordance with the terms thereof and the Indenture.
Second Lien Pari Passu Intercreditor Agreement means a customary agreement to be entered into by the Second Priority Collateral Agent and the representative of the holders of additional Second Priority Obligations, in substantially the form as permitted by this Indenture and as may be reasonably agreed between the Issuer and the representative of the holders of additional Second Priority Obligations.
