Second Lien Collateral Agent definition

Second Lien Collateral Agent means the “Collateral Agent” under and as defined in the Second Lien Credit Agreement.

Second Lien Collateral Agent shall have the meaning assigned to such term in the preamble to this Agreement.

• The Trustee and the Second Lien Collateral Agent shall sign any amendment, supplement or waiver authorized pursuant to this Article 9 if the amendment or supplement does not adversely affect the rights, duties, liabilities or immunities of the Trustee and the Second Lien Collateral Agent, as applicable.

• Each Holder, by accepting a Note, consents and agrees to the terms of the Security Documents (including the provisions providing for the possession, use, release and foreclosure of Collateral) and the Intercreditor Agreement as the same may be in effect or may be amended from time to time in accordance with their terms and this Indenture and the Intercreditor Agreement, and authorizes and directs the Second Lien Collateral Agent to enter into the Security Documents and the Intercreditor Agreement.

• This Section 6.14 does not apply to a suit by the Trustee or the Second Lien Collateral Agent, a suit by a Holder pursuant to Section 6.07, or a suit by Holders of more than 10% in principal amount of the then-outstanding Notes.

More Definitions of Second Lien Collateral Agent

Second Lien Collateral Agent means the “Collateral Agent” as defined in the Second Lien Credit Agreement.

Second Lien Collateral Agent means (i) in the case of any Initial Second Lien Obligations or the Initial Second Lien Claimholders, the Initial Second Lien Collateral Agent and (ii) in the case of any Additional Second Lien Obligations and the Additional Second Lien Claimholders in respect thereof, the Person serving as collateral agent (or the equivalent) for such Additional Second Lien Obligations and that is named as the Second Lien Collateral Agent in respect of such Additional Second Lien Obligations in the applicable Joinder Agreement (each, in the case of this clause (ii), together with its successors and assigns in such capacity, an “Additional Second Lien Collateral Agent”).
