Secure Data Room definition

Secure Data Room. The “Diligence Files” tab on the page relating to this transaction located within the Certificate Administrator’s Website (initially “xxxxx://xx.xxxxxxxxxx.xxx”).
Secure Data Room. The webpage, which shall initially be located within the Certificate Administrator’s Website (initially “xxx.xxxxxxx.xxx”), under the “Secure Data Room” tab on the page relating to this transaction.
Secure Data Room means a virtual file site or other electronic repository established by the Initial Servicer with DealVDR or any other similar platform.

Examples of Secure Data Room in a sentence

  • In no case shall the Certificate Administrator be deemed to have obtained actual or constructive knowledge of the contents of, or information contained in, any Diligence File by virtue of posting such Diligence File to the Secure Data Room.

  • Following the termination of the Trust pursuant to Section 9.01, the Certificate Administrator shall be permitted to delete all files from the Secure Data Room.

  • Upon receipt thereof, the Certificate Administrator shall promptly upload the contents of each Diligence File to the Secure Data Room.

  • Upon receipt of such certification, the Certificate Administrator shall grant the Asset Representations Reviewer access to the Secure Data Room.

  • The Certificate Administrator shall not have any obligation to produce physical or electronic copies of any document provided to it for posting to the Secure Data Room.

  • The Certificate Administrator shall not be required to restrict access to the Secure Data Room on a loan-by-loan basis and any Person with access to the Secure Data Room shall covenant to access only the documents necessary to perform its duties and responsibilities under this Agreement.

  • Upon receipt of an Asset Review Notice, the Asset Representations Reviewer shall request access to the Secure Data Room by providing the Certificate Administrator with a certification substantially in the form attached hereto as Exhibit KK.

Secure Data Room means the virtual data room containing written documents and information relating to the XXXX III Parties and the XXXX IV Parties made available to XXXX III and its Representatives and XXXX IV and its Representatives for the purposes of conducting due diligence in connection with the Mergers.

Related to Secure Data Room

  • Data Room means the virtual data room maintained by the Liquidator, created for the Qualified Bidders to access information in relation to the Company;

  • Data Room Information means the information and documents listed in the index of documents contained in the Data Site attached to the Company Disclosure Letter;

  • Virtual Data Room means the virtual data room established by the Company, access to which was given to SPAC in connection with its due diligence investigation of the Company relating to the Transactions.

  • Pupil Records Means both of the following: (1) Any information that directly relates to a pupil that is maintained by LEA and (2) any information acquired directly from the pupil through the use of instructional software or applications assigned to the pupil by a teacher or other local educational LEA employee.

  • Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

  • Project Data means all proprietary data of the Project generated out of the Project operations and transactions, documents and related information including but not restricted to user data which the Bidder obtains, possesses or processes in the context of providing the Services to the users pursuant to this RFP including the SLA;

  • Data Site means an electronic password protected data site maintained by the Borrower (or by the Collateral Manager on behalf of Borrower) at Xxxxxxx Corporation, Intralinks, SyndTrak Online or any other similar electronic distribution system reasonably acceptable to the Administrative Agent.

  • Contractor information system means an information system belonging to, or operated by or for, the Contractor.

  • Vital records means certificates or reports of birth, death, fetal death, marriage, dissolution, annulment, and related data.

  • Public records means all writings and recordings that consist of letters, words or numbers, or their equivalent, set down by handwriting, typewriting, printing, photostatting, photography, magnetic impulse, optical or magneto-optical form, mechanical or electronic recording or other form of data compilation, however stored, and regardless of physical form or characteristics, prepared or owned by, or in the possession of a public body or its officers, employees or agents in the transaction of public business.

  • Customer List means a list in electronic form (or such other form determined by ActewAGL) which sets out the following items for a Volume Customer Delivery Point:

  • Client Records has the meaning set forth in Section 3.14.

  • Customer Proprietary Network Information (“CPNI”) is as defined in the Act.

  • Subject Data As used in this section, “subject data” means recorded information, whether or not copyrighted, that is delivered or specified to be delivered as required by the Underlying Agreement. Examples of subject data include, but are not limited to computer software, standards, specifications, engineering drawings and associated lists, process sheets, manuals, technical reports, catalog item identifications, and related information, but do not include financial reports, cost analyses, or other similar information used for performance or administration of the Underlying Agreement.

  • confidential records means those portions of correspondence, memoranda, files, manuals, books, lists, financial, operating or marketing records, magnetic tape, or electronic or other media or equipment of any kind in Executive’s possession or under Executive’s control or accessible to Executive which contain any proprietary information. All confidential records shall be and remain the sole property of the Company during the Term and thereafter.

  • Contract Data means any information provided in the tender document and agreed to by the Bidder.

  • Customer Site means the site owned or leased by the Customer or any other site used to provide the Service, which is directly connected to a PoP managed by Liquid Telecom, as set out in the COF;

  • The Site, where applicable, means the designated project place(s) named in the bidding document.

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.

  • The Works/Project means the works to be executed or done under this contract.

  • Data Tape Information The information provided by the Originators as of the Cut-off Date to the Depositor or the Purchaser setting forth the following information with respect to each Mortgage Loan: (1) the Mortgagor's name; (2) as to each Mortgage Loan, the Scheduled Principal Balance as of the Cut-off Date; (3) the Mortgage Rate Cap; (4) the Index; (5) a code indicating whether the Mortgaged Property is owner occupied; (6) the type of Mortgaged Property; (7) the first date on which the Scheduled Payment was due on the Mortgage Loan and, if such date is not consistent with the Due Date currently in effect, such Due Date; (8) the "paid through date" based on payments received from the related Mortgagor;

  • Anonymous Data means Personal Data that has been processed in such a manner that it can no longer be attributed to an identified or identifiable natural person.

  • Vendor Data means any and all information, data and documentation to be provided by Subcontractor and any of its lower-tier Subcontractors under this Subcontract.

  • Dataroom means the Intralinks electronic data room established for “Project Rodeo”.

  • Billing information means any data that enables any person to access a customer’s or donor’s account, such as a credit card, checking, savings, share or similar account, utility bill, mort- gage loan account, or debit card.

  • Land Records means the property records maintained by the Recorder of Deeds for the District of Columbia.
