Securities Guarantees definition

Securities Guarantees means the Common Securities Guarantee and the Preferred Securities Guarantee.

  • Upon the Company’s exercise under Section 13.1 hereof of the option applicable to this Section 13.2, the Company and each of the Guarantors will, subject to the satisfaction of the conditions set forth in Section 13.4 hereof, be deemed to have been discharged from their obligations with respect to all outstanding Securities (including the Securities Guarantees) on the date the conditions set forth below are satisfied (hereinafter, “Legal Defeasance”).

Securities Guarantees means the Common Securities Guarantee and the Preferred Security Guarantee. "66-2/3% in liquidation amount of the Securities" means, except as provided in the terms of the Preferred Securities, Holder(s) of Securities voting together as a single class or, as the context may require, Holder(s) of Preferred Securities or Common Securities, each voting separately as a class, who vote Securities of a relevant class, and the aggregate liquidation amount (including the stated amount that would be paid on redemption, liquidation or maturity, plus accrued and unpaid Distributions, to the date upon which the voting percentages are determined) of the Securities voted by such Holders represents 66-2/3% of the above-stated liquidation amount of all Securities of such class.
Securities Guarantees means the Common Trust Securities Guarantee and the QUIPS Guarantee.
