Seller Releasees definition

Seller Releasees shall have the meaning set forth in Section 5.13.

Seller Releasees should be defined as the Seller, its parent, subsidiaries and affiliates and their respective members, managers, directors, shareholders, partners, officers, employees, agents, representatives and consultants, including without limitation the Manager.

Examples of Seller Releasees in a sentence

• Purchaser, on behalf of itself and the other Purchaser Releasors, expressly waives, to the full extent that it may lawfully waive, all rights pertaining to a general release of claims (including Section 1542 of the California Civil Code or any provision of other state or federal Law), and affirms that it is releasing all known or unknown claims that it has or may have against any of the Seller Releasees.

• If any litigation or proceeding arising out of, in connection with or relating to this Release, the Contract, the Title Defects, the Applications or the Property, the Seller Releasees shall be entitled to recover from Buyer (or Buyer’s successors and assigns) all attorneys’ fees and costs incurred in such litigation or proceeding, including in connection with any appeals .

• Except for any person or entity entitled to defense, indemnification or reimbursement pursuant to Article VII, including all Seller Releasees, this Agreement is solely for the benefit of the parties hereto and their respective permitted successors and assigns.

• Purchaser, for itself and the other Purchaser Releasors, hereby irrevocably covenants to refrain from, directly or indirectly, asserting any claim or demand, or commencing, distributing or causing to be commenced, any Proceeding of any kind against any Seller Releasees, based on any of the foregoing.

• This Release is intended to be a general release and a covenant not to xxx that extinguishes all Claims released above and precludes any attempt by such Seller to initiate any litigation against the Corporation Releasees or by the Corporation to initiate any litigation against the Seller Releasees, in each case with respect to the Corporation Claims or Seller Claims released above.

Seller Releasees has the meaning set forth in Section 5.15(a).

Seller Releasees shall have the meaning assigned thereto in Section 7.4(A).

Purchaser and Parent acknowledge and agree that the release and waiver set forth in this Section 5.14 extends to Claims that may be unknown to Purchaser or Parent, as applicable, and unsuspected by Purchaser or Parent, as applicable.
