Seller Releasees definition

Seller Releasees has the meaning set forth in Section 6.12(a) hereof.

Seller Releasees shall have the meaning set forth in Section 6.25(e).

Seller Releasees should be defined as the Seller, its parent, subsidiaries and affiliates and their respective members, managers, directors, shareholders, partners, officers, employees, agents, representatives and consultants, including without limitation the Manager.

• Purchaser, for itself and the other Purchaser Releasors, hereby irrevocably covenants to refrain from, directly or indirectly, asserting any claim or demand, or commencing, distributing or causing to be commenced, any Proceeding of any kind against any Seller Releasees, based on any of the foregoing.

• Purchaser, on behalf of itself and the other Purchaser Releasors, expressly waives, to the full extent that it may lawfully waive, all rights pertaining to a general release of claims (including Section 1542 of the California Civil Code or any provision of other state or federal Law), and affirms that it is releasing all known or unknown claims that it has or may have against any of the Seller Releasees.

• Except as set forth in Section 6(e)(iii) and except for the Nonparty Affiliates in respect of Section 9(q)(ii), the Seller Releasees in respect of Section 9(q)(iii) and the Buyer Releasees in respect of Section 9(q)(iv), this Agreement shall not confer any rights or remedies upon any Person other than the Parties and their respective successors and permitted assigns.

• If the Buyer violates the foregoing covenant not to xxx, the Buyer agrees to pay, in addition to such other damages as such Seller Releasees may sustain as a result of such violation, all attorneys’ fees and costs incurred by such Seller Releasees as a result of such violation.

• This Agreement is for the sole benefit of the parties and their successors and permitted assigns and nothing herein express or implied shall give or shall be construed to confer any legal or equitable rights or remedies to any person other than the parties to this Agreement and such successors and permitted assigns; provided, however, that the Seller Releasees and the Company Releasees shall be third party beneficiaries with respect to Sections 3(i) and 4 hereof.

Purchaser and Parent acknowledge and agree that the release and waiver set forth in this Section 5.14 extends to Claims that may be unknown to Purchaser or Parent, as applicable, and unsuspected by Purchaser or Parent, as applicable.
