Target Shareholders means the holders of the Target Shares;

• Acquiror or Target, as applicable, may sell or otherwise dispose of any portion of the Consideration otherwise payable to Target Shareholders as is necessary to provide sufficient funds to enable Acquiror or Target, as applicable, to comply with such deduction and/or withholding requirements.

Target Shareholders has the meaning set forth on page one of this Agreement;
