At the Closing, upon the terms and subject to the conditions set forth in this Agreement, the Company shall issue and sell to the Purchaser, and the Purchaser shall purchase from the Company, $25,000,000 of Series 8 Preferred Stock at a purchase price of $1,000 per share of Series 8 Preferred Stock.

Accrued Dividends shall be payable upon redemption of the Series 8 Preferred Stock in accordance with Section 7.
For the avoidance of doubt, (a) nothing in this Section 3 shall prohibit the Corporation from paying dividends on shares of Series 8 Preferred Stock and (b) dividends paid on shares of Series 8 Preferred Stock shall not give rise to any obligation of the Corporation to pay dividends on shares of Series 9 Preferred Stock.
The Series 8 Preferred Stock may only be sold, transferred, assigned, pledged or otherwise disposed of (“Transfer”) in accordance with state and federal securities laws.
The Series 11 Preferred Stock shall rank junior to the Series 8 Preferred Stock and the Series 10 Preferred Stock as to dividend rights and pari passu with the Series 8 Preferred Stock and the Series 10 Preferred Stock as to liquidation rights.
