The material terms and provisions of the Letter of Intent and any documents prepared in connection therewith, including Series D Preferred Stock, may not be amended, modified or the material conditions therein waived without the consent of the Purchasers which consent will not be unreasonably withheld.
For purposes of any such exercise, the determination of the Exercise Price shall be appropriately adjusted to apply to such Alternate Consideration based on the amount of Alternate Consideration issuable in respect of one share of Series D Preferred in such Fundamental Transaction, and the Company shall apportion the Exercise Price among the Alternate Consideration in a reasonable manner reflecting the relative value of any different components of the Alternate Consideration.
As used herein, “Standard Settlement Period” means the standard settlement period, expressed in a number of Trading Days, on the Company’s primary Trading Market with respect to the Series D Preferred as in effect on the date of delivery of the Notice of Exercise.
The exercise price per share of the Series D Preferred under this Warrant shall be $5.00 (the “Exercise Price”).
If holders of Series D Preferred are given any choice as to the securities, cash or property to be received in a Fundamental Transaction, then the Holder shall be given the same choice as to the Alternate Consideration it receives upon any exercise of this Warrant following such Fundamental Transaction.
