Services Costs definition

Services Costs has the meaning given to that term in Clause 62.1.

Services Costs means the costs of the Services, including, without limitation, the costs of materials, contracts and labor incurred in the provision of the Services. Services Costs shall include Allocated Costs and Assigned Costs.

Services Costs means the sum of the direct and indirect costs (e.g., employment costs, administrative costs, utilities, software subscriptions and all forms of overhead) of performing the Excluded Support Functions; provided that, if any such costs relate to both the provision of the Excluded Support Functions and any other business of the Management Party, then such costs shall be allocated between the Excluded Support Functions and such other business, and only the portion allocated to the Excluded Support Functions shall constitute Services Costs.

Services Costs means the costs attributable to Development Services provided by each Party Operator as set forth in the Annual Plan and Budget or as determined pursuant to Section 2.11(d).

Trilogy will not have the right or ability to engage any third parties on PFNH's behalf without express written approval from PFNH. Services Costs are all direct and indirect costs incurred by Epitope in providing Services, whether paid or accrued. Services Costs shall be determined using Epitope's internal cost accounting system. Epitope shall allocate costs of personnel who provide services to both Epitope and Agritope, and indirect costs such as general and administrative costs, on a reasonable basis consistent with Epitope's internal cost accounting system. Upon reasonable notice to Epitope, Agritope personnel shall have the right to review Epitope records to verify the determination of Services Costs.
