Forcepoint warrants that Services Offerings will be performed in a professional and workmanlike manner and Forcepoint will comply with all applicable laws in providing the Services Offerings.
You represent and warrant to us that: (a) you or your licensors own all right, title, and interest in and to Your Content and Your Submissions; (b) you have all rights in Your Content and Your Submissions necessary to grant the rights contemplated by this Agreement; and (c) none of Your Content, Your Submissions or End Users’ use of Your Content, Your Submissions or the Services Offerings will violate the Acceptable Use Policy.
You are responsible for identifying and authenticating all Users, for approving access by such Users to the Services Offerings, for controlling against unauthorized access by Users, and for maintaining the confidentiality of usernames, passwords and account information.
Subject to the provisions contained in this Agreement, and timely payment of the applicable Fees, Forcepoint hereby grants Licensee a License to use the Software, and Software Upgrades provided pursuant to Maintenance (including any output of the Services Offerings), identified in the Order solely for Licensee’s internal business purposes up to the Permitted Capacity set forth in the Order.
Out-of-pocket expenses identified in a quote, statement of work, professional services agreement (or similar agreement) for Services Offerings agreed between Forcepoint and Public Sector Entity to be reimbursed by Public Sector Entity at cost must be submitted for payment no more than sixty (60) days after completion of Services Offerings or such payment may be denied.
In the event that any services specified in the Order for one or more Packaged Services Offerings are not completed within the specified service term, those incomplete services are forfeited, unless mutually agreed upon by both Parties in writing prior to the expiration of the relevant Order term.
Fees for the Services Offerings are listed on our Pricing Page and/or in your Order(s); in the event of any conflict, the prices set out in your Order shall apply.
Subject to the provisions contained in this Agreement, and timely payment of the applicable fees, Forcepoint hereby grants Subscriber, for the Subscription Term, a Subscription to use the Products, receive Technical Support, and access the Cloud Services (including any output of the Services Offerings), identified in the Order solely for Subscriber’s internal business purposes up to the Permitted Capacity set forth in the Order.
Telecommunication Managed Services (or Telecom Managed Services) Offerings include, but are not limited to, management of Customer owned, or Successful Respondent provided Equipment in support of management of call processing architecture, call centers or contact center services, interactive voice response (IVR)/auto-attendant services, managed private branch exchange (PBX) services, management of voice and data networks, network optimization services, and hosted solutions on a subscriptions basis.
Everfox warrants that Services Offerings will be performed in a professional and workmanlike manner and Everfox will comply with all applicable laws in providing the Services Offerings (“Services Warranty").
