Servicing Files definition

Servicing Files has the meaning set forth in the Servicing Agreement.
Servicing Files. With respect to any Mortgage Loan:
Servicing Files means the documents, files and other items pertaining to the Mortgage Loans, including without limitation the computer files, data disks, books, records, data tapes, notes, and all additional documents generated as a result of or utilized in originating or servicing the Mortgage Loans.

Examples of Servicing Files in a sentence

  • On or before the Closing Date or Servicing Transfer Date, as applicable, the Seller shall cause to be delivered the Servicing Files with respect to the Mortgage Loans listed on the Mortgage Loan Schedule to the Servicer.

  • Each Servicing File delivered to a Servicer shall be held in trust by such Servicer for the benefit of the Trustee; provided, however, that the Servicer shall have no liability for any Servicing Files (or portions thereof) not delivered by the Seller.

  • The Servicer shall maintain a Servicing File with respect to each Mortgage Loan in order to service such Mortgage Loans pursuant to this Agreement and each Servicing File delivered to the Servicer shall be held in trust by the Servicer for the benefit of the Trustee; provided, however, that the Servicer shall have no liability for any Servicing Files (or portions thereof) not delivered by the Seller.

  • The Mortgage Loan Seller shall reasonably cooperate with any examination of the Mortgage Files and Servicing Files that may be undertaken by or on behalf of the Purchaser.

  • It is understood and agreed that the representations and warranties set forth in Section 6.01 shall survive the engagement of the Servicer to perform the servicing responsibilities as of the Closing Date or Servicing Transfer Date, as applicable, hereunder and the delivery of the Servicing Files to the Servicer and shall inure to the benefit of the Seller and the Trustee.


More Definitions of Servicing Files

Servicing Files. With respect to each Lease Receivable or Lease Contract, a file folder containing the Servicer's copy of the related Documentation and any ancillary papers.
Servicing Files means, with respect to any Pledged Mortgage Loan, all books of account, records (including electronic records), reports, data, and other papers and documents of whatever kind or description, whether developed or originated by Borrower or others, required under the applicable Take-Out Commitment to document or service the Mortgage Loan, excluding the documents included in the Mortgage File.
Servicing Files means such files, documents, and computer files necessary for the Servicer to perform its duties under the Servicing Agreement.
Servicing Files. With respect to each of the Mortgage Loans, the documents, files and other items, including but not limited to, the related Mortgage File, the computer files, data disks, books, records, data tapes, notes and all additional documents generated as a result of or utilized in connection with the origination of such Mortgage Loan and/or are necessary to service such Mortgage Loan.
Servicing Files. To the extent in HUD’s possession, copies of correspondence, memoranda and other documents and items with respect to each Mortgage Loan, including: (a) the amortization schedule; (b) the twelve (12) most recent HUD monthly billing statements (HUD-2771); (c) the most recent real estate tax xxxx(s), and proof of payment thereof; and (d) any correspondence with taxing authorities relating to the one (1) year period preceding the Closing Date.
Servicing Files means with respect to each of the receivables, the documents, files and other items, including but not limited to, the related Receivable File, the computer files, data disks, books, records, data tapes, notes and all additional documents generated as a result of or utilized in connection with the origination of such Receivable and/or are necessary to service such Receivable.
Servicing Files in Seller's possession shall be held by Seller in a custodial capacity only for the benefit of the Purchaser. The Seller shall release its custody of any contents of the related Mortgage Files or Servicing Files only in accordance with written instructions of the Purchaser or the Purchaser's designee.
