Share Price Appreciation definition

Share Price Appreciation means, in respect of a SAR, the amount determined by deducting the Offer Price from the Vesting Price;
Share Price Appreciation means, as to the Company and the Peer Group Index the annualized rate of return shareholders receive through stock or unit price changes (disregarding any dividends or other distributions paid), from the first day of the Performance Period through the applicable Measurement Date. For purposes of determining the Share Price Appreciation for the Company and the Peer Group Index through the applicable Measurement Date, the change in the price of the Company's Common Stock and the Peer Group Index's trading price, as the case may be, shall be based upon the closing price of the Common Stock and the Peer Group Index on the trading date immediately prior to the first day of the Performance Period (the “Initial Value”) and the closing price on the applicable Measurement Date. Achievement with respect to this Performance Objective shall be determined as of each Measurement Date by the Committee based on difference between the Company's Share Price Appreciation and the Share Price Appreciation of the Peer Group Index from the first day of the Performance Period through such Measurement Date (the “Performance Delta”), and shall be determined in accordance with the table set forth in Appendix A hereto. The “Peer Group Index” means the Dow Xxxxx U.S. Oil & Gas Exploration & Production Index, as measured by the performance of the iShares Dow Xxxxx U.S. Oil & Gas Exploration & Production Index Fund (NYSEARCA: IEO). As soon as administratively practicable following each Measurement Date (but in no event later than the 15th day of the third calendar month following the calendar month in which the Measurement Date occurs), the Committee shall certify whether and to the extent that the Performance Objective has been achieved and will determine, in the manner described above, the number of Performance Units, if any, determined to be earned on such Measurement Date pursuant to the table in Appendix A. The number of Performance Units, if any, determined by the Committee pursuant to the preceding provisions of this Section 3 shall be referred to as the “Earned Performance Units.”

Examples of Share Price Appreciation in a sentence

  • The amount of the total payment due to the Shareholder under the Share Price Appreciation feature will be equal to the amount payable per SAR, multiplied by the number of SARs held.

  • HYPOTHETICAL PAYMENT SCENARIOSThe following examples are intended to illustrate the effect of the Personal Contribution Protection and the Share Price Appreciation features of the SARs in different hypothetical situations.

  • If, following the Vesting of a SAR, the Share Price Appreciation is equal to zero or less than zero, then, subject to the condition that the Participant is employed with the Company on the Vesting Date, the Participant shall be entitled to receive, separate from the right to receive Entitlement Shares (if any) in respect of his Vested SARs, an Additional Cash Bonus in the amount of R18 per Vested SAR in respect of services rendered.

  • If the Average Final Price is equal to the Reference Price, no payment will be due to the Shareholder under the Share Price Appreciation feature of the SAR2.

  • This applies in particular to the Share Price Appreciation; the Personal Contribution Protection provides that the value of a Shareholder’s investment on the Early Release Date or at the end of the lock-up period will in no case be less than the amount of the Personal Contribution.

  • In some cases, described below under “Exceptional Situations”, calculation methods different from those described above may apply, resulting in payment amounts under the Personal Contribution Protection and Share Price Appreciation features of the SAR that may be greater than or less than those described above.

  • If the Average Intermediate Price is equal to the Reference Price, no payment will be due to the Shareholder under the Share Price Appreciation feature.

Related to Share Price Appreciation

  • Common Stock Price means, with respect to the Company and each of the Peer Companies, as of a particular date, the average of the Fair Market Value over the 15 consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price of a share of common stock as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Common Share Price means the volume weighted average per share trading price of the Common Shares on the TSX for the 10 consecutive Trading Day period ending on the Trading Day immediately before the occurrence of a Trigger Event, or if the Common Shares are not then listed on the TSX, the principal stock exchange on which the Common Shares are then listed or quoted (being the stock exchange with the greatest volume of trading in the Common Shares during the previous six months), or if such shares are not listed or quoted on any stock exchange, or if no such trading prices are available, the Floor Price.

  • Share Price means any price of the Share as published by the Exchange.

  • SAR Price means the exercise price or conversion price of each share of Common Stock covered by a SAR, determined on the Date of Grant of the SAR.

  • Per Share Price shall have the meaning set forth in Section 2.1.

  • Threshold Appreciation Price has the meaning specified in Section 5.1.

  • Closing Price Per Share means, with respect to the Common Stock, for any day, (i) the last reported sale price regular way on the Nasdaq National Market or, (ii) if the Common Stock is not quoted on the Nasdaq National Market, the last reported sale price regular way per share or, in case no such reported sale takes place on such day, the average of the reported closing bid and asked prices regular way, in either case, on the principal national securities exchange on which the Common Stock is listed or admitted to trading, or (iii) if the Common Stock is not quoted on the Nasdaq National Market or listed or admitted to trading on any national securities exchange, the average of the closing bid prices in the over-the-counter market as furnished by any New York Stock Exchange member firm selected from time to time by the Company for that purpose.

  • Merger price per share means, in the case of a merger, consolidation, sale, exchange or other disposition of assets that results in a Change of Control or going private transaction (a “Merger”), the greater of (i) the fixed or formula price for the acquisition of shares of common stock occurring pursuant to the Merger, and (ii) the highest fair market value per share of common stock during the ninety-day period ending on the date of such Change of Control or going private transaction. Any securities or property which are part or all of the consideration paid for shares of common stock pursuant to the Merger shall be valued in determining the merger price per share at the higher of (A) the valuation placed on such securities or property by the Company, person or other entity which is a party with the Company to the Merger, or (B) the valuation placed on such securities or property by the Committee.

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.

  • Exercise Price Per Share hereinafter “Exercise Price” means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).

  • Reference Share Price means, on any day, the closing price of a Reference Share on the primary exchange on which the Reference Share is traded, as reported by such exchange, provided that if the primary exchange on which a particular Reference Share is traded is not open for trading on that day, if there is no closing price on that day or if there is a market disruption event affecting such Reference Share on that day, the closing price on the immediately preceding day on which such exchange is open for trading (and for which there is a closing price and no market disruption event) will be used, except if this occurs on the Issue Date or an Average Valuation Date, in which case the closing price on the immediately following day on which such exchange is open for trading (and for which there is a closing price and no market disruption event) will be used, up to a maximum postponement of five Business Days. If the closing of the primary exchange, the absence of a closing price or the market disruption event should last for five Business Days, the closing price of the relevant Reference Share will be a price determined on such fifth Business Day by the Calculation Agent in its sole discretion and in good faith using market-accepted practices.

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Parent Share Price means the average of the volume weighted averages of the trading prices of Parent Common Shares on NYSE (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and the Company in good faith) on each of the 20 consecutive trading days ending on (and including) the trading day that is two trading days prior to the Closing Date.

  • Strike Price means, except as otherwise provided by the Committee in the case of Substitute Awards, (i) in the case of a SAR granted in tandem with an Option, the Exercise Price of the related Option, or (ii) in the case of a SAR granted independent of an Option, the Fair Market Value on the Date of Grant.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock on the NYSE (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and the Company in good faith) on each of the five (5) consecutive trading days ending on the trading day that is two (2) trading days prior to the Closing Date.

  • Appreciation Award means any Award under this Plan of any Stock Option, Stock Appreciation Right or Other Stock-Based Award, provided that such Other Stock-Based Award is based on the appreciation in value of a share of Common Stock in excess of an amount equal to at least the Fair Market Value of the Common Stock on the date such Other Stock-Based Award is granted.

  • SAR Value means the excess of the Fair Market Value (on the exercise date) over the exercise price that the participant would have otherwise had to pay to exercise the related Stock Option, multiplied by the number of shares for which the Stock Appreciation Right is exercised.

  • Average Stock Price means the average of the closing prices of a Share, as reported on NASDAQ (or such other stock exchange as is applicable), for the forty-five (45) trading day period immediately preceding the date for which the Average Stock Price is being determined hereunder.

  • Share Value means $25.00 plus declared and unpaid dividends as at the date of the Trigger Event.

  • Share Valuefinal means the Preference Share Value on the Valuation Date; and "Share Valueinitial" means the Preference Share Value on the Initial Valuation Date.

  • share-based award means an award under an equity incentive plan of equity-based instruments that do not have option-like features, including, for greater certainty, common shares, restricted shares, restricted share units, deferred share units, phantom shares, phantom share units, common share equivalent units, and stock.

  • Grant Price means the price established at the time of grant of a SAR pursuant to Article 7, used to determine whether there is any payment due upon exercise of the SAR.

  • Purchase Price Per Share means $0.01 per share, as may be adjusted from time to time in accordance with Section 5 or 6.

  • Stock Price shall have the meaning specified in Section 14.03(c).

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.
