Share Purchasers definition

Share Purchasers means the members of the Purchaser Group set out in column 3 of Part A of Schedule 1 and/or any member of the Purchaser Group established as a Designated Purchaser of any Shares pursuant to a Supplemental Agency Agreement, and Share Purchaser means any one of them;

Share Purchasers means the members of the Purchaser’s Group notified by the Purchaser to the Seller in accordance with Clause 2.10, and “Share Purchaser” means any one of them;

• Reports The Company will mail to the Purchaser hereof at its address as shown on the Register a copy of any annual, quarterly or current report that it files with the Securities and Exchange Commission promptly after the filing thereof and a copy of any annual, quarterly or other report or proxy statement that it gives to its Share Purchasers generally at the time such report or statement is sent to Share Purchasers.

• The Purchaser, at their option, may request the company to authorize and issue additional Shares if the Purchaser feels it is necessary for conversions in the future In the event the Company's Share Purchaser's meeting does not result in the necessary authorization, the Company shall redeem the outstanding Debentures for an amount equal to (x) the sum of the principal of the outstanding Debentures plus accrued interest thereon multiplied by (y) 133%.

• In such an event management of the Company shall recommend to all Share Purchasers to vote their Shares in favor of increasing the authorized number of Shares of Common Stock.

• The Designated Underwriter will notify the Company as to which potential Directed Share Purchasers, if any, will need to be so restricted.

• As promptly as practicable following the date hereof, and in any event prior to the Launch Date, the Purchasers’ Representative shall organize one or more Share Purchasers as any of a Chilean limited liability company (sociedad de responsibilidad limitada), a Chilean stock corporation (sociedad por acciones) or a Chilean corporation (sociedad anónima) each of which will be a wholly owned direct or indirect subsidiary of the Purchasers’ Representative.

More Definitions of Share Purchasers

Share Purchasers means, individually or collectively, Abbott and the Affiliates of Abbott that are identified on Schedule 1.01(d) attached hereto.
