Shareholder Entities means any investment firm (or any of its affiliated or managed funds) that is a shareholder of the Corporation that has the right to designate, appoint or elect members to the Board whether pursuant to a class of capital stock of the Corporation with the exclusive right to appoint or elect a member of the Board or pursuant to a shareholders agreement or other contract between such investment firm (or any of its affiliated or managed funds) and the Corporation or any other Person controlling, controlled by or under common control with such investment firm; provided, however, that neither the Corporation nor any of its subsidiaries shall be considered Shareholder Entities hereunder.

Shareholder Entities means Parthenon Investors III, L.P., PCap Associates, Parthenon Capital Partners Fund, L.P., Parthenon Investors IV, L.P. and Parthenon Capital Partners Fund II, L.P. (collectively, “Parthenon”) or any other Person controlling, controlled by or under common control with Parthenon; provided, however, that neither the Corporation nor any of its subsidiaries shall be considered Shareholder Entities hereunder
