Shareholders Deed definition

Shareholders Deed means the shareholder deed in the form attached as Exhibit J.

  • The Conversion Shares have been duly reserved for issuance, and upon issuance in accordance with the terms of the Restated Articles, will be duly and validly issued, fully paid and non-assessable, free from any Lien (except for any restrictions on transfer under applicable securities laws, this Agreement, the Shareholders Deed or the Restated Articles).

More Definitions of Shareholders Deed

Shareholders Deed means the amended and restated shareholders deed of the Company to be entered into by and among the parties named therein at Closing, in the form attached as Exhibit A.
