Shareholders Rights Plan definition

Shareholders Rights Plan means a plan approved by the board of directors of the Borrower providing for the distribution to shareholders of the Borrower of rights to purchase Preferred Stock of the Borrower (which Preferred Stock need not be Qualified Preferred Stock) on such terms and conditions as are customary for similar plans adopted by publicly-held companies of comparable size to the Borrower.
Shareholders Rights Plan means a shareholders rights plan (or “poison pill”) or similar arrangement relating to accumulations of beneficial ownership of Common Shares or a change in control of the Borrower.
Shareholders Rights Plan means the Rights Agreement dated as of October 17, 1997 by and between Big Flower Holdings, Inc. and The Bank of New York as Rights Agent, as amended from time to time.
