Solius Holdco means Solius Holdco Inc., a corporation incorporated under the laws of the State of Delaware. "Specified Representations" means the representations and warranties of the Obligors set forth in Sections 10.1(a), (b), (c), (f), (i), (w), (x), (z), (aa) and (bb) hereof which are made on the Restatement Date as a condition precedent to the sole drawdown under the TL Facility pursuant to Section 12.2(k) hereof.
