Southern Energy Business means (a) the business and operations of Southern Energy and its Subsidiaries and Affiliated Companies, and (b) except as otherwise expressly provided herein, any terminated, divested or discontinued businesses or operations that at the time of termination, divestiture or discontinuation primarily related to the Southern Energy Business as then conducted; provided, that the Southern Energy Business shall not include the business or operations of HoldCo, SE Finance, SE Capital Funding or Southern Company Energy Solutions, Inc.
