S&P 500 TSR definition

S&P 500 TSR means total shareholder return for the S&P 500 for the period beginning on [insert January 1 of year of grant] and ending on the Measurement Date, as reflected in the S&P 500 Total Return Index as reported by Bloomberg. The Committee shall adjust equitably the Start Price and/or the End Price, as calculated in accordance with the definitions thereof set forth above, to reflect any corporate transaction or event set forth in Section 4.2(b) of the Plan that affects a share of Common Stock if such adjustment is appropriate to prevent dilution or enlargement of the benefits or potential benefits intended to be made available under this Award.
S&P 500 TSR means the rate of return on the S&P 500 Total Return Index, determined by reference to the increase or decrease, as the case may be, between the average of the closing value of the S&P Total Return Index for the thirty (30) NASDAQ trading days leading up to, and inclusive of, the TSR Performance measurement period’s start date and the thirty (30) trading days leading up to, and inclusive of, the period’s end date.
S&P 500 TSR. (or S&P 500 Total Shareholder Return) means the annual growth rate, expressed as a percentage, in the value of the S&P 500 Index during a Performance Period. It is calculated in a manner consistent with Section 4(a) above from information publicly reported by Standard & Poors Company (or the entity that publishes such other index, as the case may be).

Examples of S&P 500 TSR in a sentence

  • If the Company TSR is equal to or exceeds the 80th percentile (“maximum”) of the S&P 500 TSR, then the PSUs to be eligible for the lapse of restrictions shall be adjusted upward by 75% (175%).

  • If the Company TSR is equal to the 35th percentile (“threshold”) of the S&P 500 TSR, then one-quarter (25%) of the PSUs shall be eligible for the lapse of restrictions.

  • For the avoidance of doubt, if, for example, the Committee determines that ABC TSR ranks in the 45th percentile compared to the S&P 500 TSR for a Performance Period, the value of the TSR Component for such Performance Period will equal $337,500 ($450,000 multiplied by 75%).

  • Three-year Company TSR performance versus three-year S&P 500 TSR Performance will be calculated as the 60-trading day average of the Company’s stock price at the beginning and end of such three-year period.

  • If the Company TSR is equal to or exceeds the 80th percentile (“maximum”) of the S&P 500 TSR, then such PSUs to be eligible for the lapse of restrictions shall be adjusted upward by 75% (175%).

  • The actual number of RSUs of the Relative S&P 500 TSR Award which shall vest shall be interpolated between the vesting percentages to the extent that the Relative S&P 500 TSR is between the amounts set forth in the chart above.

  • Performance Criteria: You shall become vested in the Grant Date Amount of PSUs if at the end of each Performance Period (1) you are employed by the Company or as otherwise set forth in the award agreement and (2) the Company TSR is equal to the S&P 500 TSR.

  • You shall not vest in any PSUs if the Company TSR is more than 25 percentage points under the S&P 500 TSR.

  • RSUs subject to the Relative S&P 500 TSR Award that do not vest on the date the Committee determines the Relative S&P 500 TSR for the applicable period shall be forfeited on such date.

  • The calculation of the Relative S&P 500 TSR Award and the number of RSUs vested under the Relative S&P 500 TSR Award shall be carried out to the third decimal point.


More Definitions of S&P 500 TSR

S&P 500 TSR means the total return to stockholders of each of the 500 companies, other than the Company, comprising the Standard & Poors 500 (“S&P 500”) Index during the Performance Period. Total return to stockholders for each such company is calculated in the same way under “EL TSR” in item 1 above. In the event that a company is no longer in the S&P 500 at the end of the Performance Period, such company will be excluded from the calculation of S&P 500 TSR; likewise, if a company is in the S&P 500 at the end of the Performance Period and was not in the S&P 500 on the first day of the Performance Period, such company will be excluded from the calculation of S&P 500 TSR.
S&P 500 TSR shall be calculated by dividing the reported closing value of the S&P 500 Total Return Index on the last trading day of by the reported closing value of the S&P 500 Total Return Index on the last trading day of , subtracting one from the result and then expressing the resulting fraction as a percentage.
