Special Reps definition

Special Reps is defined in Section 9.1.
Special Reps is defined in Section 15.1(a).
Special Reps means the representations and warranties of the Sellers and Stockholder contained in Sections 3.1(a), ‎3.3, ‎3.10(a), 3.21 and ‎3.34.

Examples of Special Reps in a sentence

  • With regard to Claims for a breach of all other representations, warranties or covenants (that is, other than Claims for indemnification based on a breach of the Special Reps, Fundamental Claims or Claims pursuant to Section ‎7.2(a)(iv), the obligation of indemnification of the Seller Indemnifying Parties shall not in the aggregate exceed the balance of the Escrow Fund as defined in the Escrow Agreement.

  • Internal control over financial reporting means a process effected by an insurer’s board of directors, management and other personnel designed to provide reasonable assurance regarding the reliability of the financial statements, i.e., those items specified in Section 5(B)(2) through 5(B)(7) of this regulation and includes those policies and procedures that:

  • Special Hazard Coverage Termination Date The point in time at which the Special Hazard Loss Coverage Amount is reduced to zero.

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Specific learning disability (SLD) means a heterogeneous group of conditions wherein there is a deficit in processing language, spoken or written, that may manifest itself as a difficulty to comprehend, speak, read, write, spell, or to do mathematical calculations and includes such conditions as perceptual disabilities, dyslexia, dysgraphia, dyscalculia, dyspraxia and developmental aphasia.
