Specified Equity Interests definition

Specified Equity Interests means Equity Interests owned by the Borrower or any of its Subsidiaries in any Person or Persons that (i) are not directly, or indirectly through one or more intermediaries, Controlled by the Borrower or by any of its Subsidiaries and (ii) are either disclosed on Schedule 5.13, or acquired by the Borrower after the Closing Date in connection with an acquisition expressly permitted under Section 7.02 or a divestiture expressly permitted under Section 7.05.
Specified Equity Interests has the meaning given that term in Section 10.2.(b).
Specified Equity Interests means, collectively, the BPR Specified Equity Interests and the BPR OP Specified Equity Interests.

Examples of Specified Equity Interests in a sentence

  • In the event (i) the Specified Equity Interests have been transferred to Canco as provided above and (ii) either (A) Closing has occurred or (B) the Incorporacao Agreement has not been terminated, Interbrew agrees that it will not, and it will cause its subsidiaries not to, transfer the Specified Equity Interests to Labatt or any of its subsidiaries without the prior written consent of AmBev.

  • None of such Specified Equity Interests is subject to any option to purchase or similar right of any Person.

  • On the Closing Date, the Specified Equity Interests and the Transferred Assets shall be transferred to the Buyers free and clear of any and all claims and Interests, other than Permitted Encumbrances and Assumed Liabilities, to the fullest extent permitted under, inter alia, Section 1141(c) of the Bankruptcy Code.


More Definitions of Specified Equity Interests

Specified Equity Interests means the shares of capital stock, partnership interests, limited liability company membership interests, investment trust units and all other equity interests that are legally or beneficially owned by Borrower, a Guarantor or any of their respective Affiliates, directly or indirectly, in any of Prime Retail Outlets, Prime Office Chicago or Extended Stay of America Hotels.
Specified Equity Interests means the voting Equity Interests held by Guernsey Holdco in Holdings or any Subsidiary of Holdings; provided that any such Equity Interests shall cease to be Specified Equity Interests to the extent they are not held by Guernsey Holdco or they cease to constitute Collateral.
Specified Equity Interests means (a) any capital stock partnership or membership interests, unit of participation or other similar interest (however designated) and (b) any option, warrant, purchase right, conversion right, exchange right, equity appreciation right, profits interest or phantom stock or equity right or other Contract which would entitle any other Person to acquire any such interest in any other Person, in each case, held by any of the EDR Parties or the Transferred Entities in any of the Company JVs, and any debt securities issued by, debt incurred by (and evidence thereof including notes payable) or accounts payable of any Company JVs that are held by any of the EDR Parties or the Transferred Entities.
Specified Equity Interests means all Equity Interests (including any compulsorily convertible instruments) in the Specified Subsidiaries, including the Transferred Equity Interests.
Specified Equity Interests means (a) certificate number 1 issued by ▇▇▇▇▇▇▇▇▇▇▇▇ Terminal Co. to the Issuer for 1,000 shares of common stock; (b) certificate number 2 issued by Eastern Coal & Coke Co. to ▇▇▇▇▇▇▇▇▇▇▇▇ Coal Sales Company, Inc. for 100 shares of common stock, (c) certificate number 1 issued by Criterion Coal Co. to the Issuer for 1,000 shares of common stock· and (d) certificate number 3 issued by WRM to the Issuer for 80,000 shares of common stock.
Specified Equity Interests means the Equity Interest by Aventine Renewable Inc. in each of Northeast Iowa Ethanol, TriStates Ethanol Company and Fluid Technologies n/k/a Micap Plc.
Specified Equity Interests means the Series B Convertible Preferred Stock of the Borrower issued pursuant to that certain Certificate of Designations, Preferences, Powers and Rights of Series B Convertible Preferred Stock of YRC Worldwide Inc.
