Except as otherwise determined by the Parties (in a manner consistent with Section 409A of the Code), each Parent Transition Employee or SpinCo Transition Employee who commences employment with the SpinCo Group or Parent Group, respectively shall be deemed to have experienced a termination of employment for purposes of the terms and conditions of Post-Separation Parent Awards and SpinCo Awards of such Parent Transition Employee or SpinCo Transition Employee as of the Transfer Date.
