Sponsor Managers definition

Sponsor Managers means (i) prior to the dissolution of the Sponsor, the managers of the Sponsor and (ii) after the dissolution of the Sponsor, the managers of the Sponsor immediately prior to such dissolution.
Sponsor Managers means the managing members of Sponsor, including after the dissolution of Sponsor.
Sponsor Managers has the meaning ascribed to it in the Preamble.

  • Sponsor Management Agreement means the Management Agreement between certain of the management companies associated with the Sponsors and the Borrower.

  • Independent Manager Fee is defined in Section 4.01(a) of the LLC Agreement.

  • Committee Members means persons formally appointed by the Board to sit on or to chair specific committees.

  • Sponsor Affiliate means an entity that joins with the Company and that participates in the investment in, or financing of, the Project and which meets the requirements under the FILOT Act to be entitled to the benefits of this Fee Agreement with respect to its participation in the Project, all as set forth in Section 5.13 hereof.

  • Management Board means the management board of the Company.

  • Senior Management Personnel means personnel of the company who are members of its core management team excluding Board of Directors. Normally, this would comprise all members of management one level below the executive directors, including all functional heads.

  • Sponsor Group means the Sponsors and the Sponsor Related Parties.

  • Special Committee means a committee of the Board of Managers of the Company comprised of two individuals, each of whom qualifies as an Independent Manager.

  • Management Team means Xxxxxx X. X’Xxxxxxx, Xxxxxxx X. Xxxxxx, Xx. and Xxxxx X. Xxxxxxxxxx.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) [replaced by The Companies Act, 2013 (No.18 of 2013)] and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund.

  • Sponsor shall have the meaning given in the Recitals hereto.

  • Senior Managing Agents means the banks listed on Schedule 1 hereto, in their capacity as senior managing agents of the credit facility hereunder.

  • Procurement Committee means a Committee constituted by the Employer to perform the functions as such under the terms and conditions of Contract.

  • Non-Investment Personnel means any Employee that does not meet the definition of Investment Personnel as listed above.
