All disbursements of net STAR Bond Proceeds shall be made only to pay Project Costs which are (i) eligible for payment or reimbursement pursuant to the STAR Bond Act, and (ii) agreed-upon by the parties and identified on Exhibit K attached hereto (the "Eligible STAR Bond Expenses").
Without limiting the generality of the foregoing, the parties hereby recognize and agree that K.S.A. 12-17,176 of the STAR Bond Act requires an annual audit by a certified public accountant of the use of the STAR Bond Proceeds by the City.
Notwithstanding anything in this Agreement to the contrary, in all events when this Agreement shall provide for the payment or reimbursement of any cost with STAR Bond Proceeds, such payment or reimbursement shall be conditioned upon such costs being (i) Eligible STAR Bond Expenses, and (ii) legally permissible pursuant to the terms and conditions of the STAR Bond Act.
It is anticipated that the STAR Bonds and CID Bonds (collectively, "Obligations") for Phase 1 may be issued around the time that this Agreement is executed and that the City, in its sole discretion, may authorize the issuance of Obligations as provided for under Applicable Laws and Requirements, including without limitation the STAR Bond Act and/or CID Act and the City's Economic Development Policy.
The columns entitled “2017 STAR Bond Eligible Costs reflects the portion of the Phase A Project Costs and Phase B Project Costs that are eligible to be financed with the Series 2017 STAR Bond proceeds pursuant to the STAR Bond Act and the Project Plan Amendment (with such costs hereafter referred to as “2017 STAR Bond Eligible Costs”).
Developer hereby understands and agrees that Kansas resident employees shall be given priority consideration for employment on the Project as required by K.S.A. 12-17,166(m) of the STAR Bond Act.
Series 2017 STAR Bond proceeds may be utilized only for items deemed 2017 STAR Bond Eligible Costs pursuant to the STAR Bond Act and in accordance with the Project Plan Amendment, the Agreement and approval of the Secretary.
