Examples of State Indemnitees in a sentence
With respect to Materials or Services provided or proposed by a Contractor Indemnitor for performance under the Contract, Contractor shall indemnify, defend and hold harmless State Indemnitees against any third-party claims for liability, costs, and expenses, including, but not limited to reasonable attorneys' fees, for infringement or violation of any patent, trademark, copyright, or trade secret by the Materials and the Services.
If the third party fails to honor its Pass-Through Indemnity, or if a Pass-Through Indemnity is insufficient to indemnify State Indemnitees to the extent and degree, Contractor is required to do by the Uniform Terms and Conditions, then Contractor shall indemnify, defend and hold harmless State Indemnitees to the extent the Pass-Through Indemnity does not.

In addition to the other indemnification provided herein, shall indemnify, defend, and hold harmless UGAA and UGAA Indemnitees as indicated in ¶ XI(B) (and shall indemnify and hold harmless the State Indemnitees as indicated in ¶ XI(B)) and pay all costs (including but not limited to attorneys’ fees) incurred by UGAA, UGA, the Board of Regents, and the other Indemnitees related to litigation involving Design- Builder or any Subcontractor of any tier who resists or refuses joinder.
The parties specifically intend that the Contractor Indemnitors shall indemnify the relevant State Indemnitees from and against Indemnified Basic Claims in all instances except where the Indemnified Basic Claim arises solely from those State Indemnitees’ own negligent or willful acts or omissions.
Design-Builder shall, in addition to other indemnifications provided for herein, indemnify UGAA, UGAA Indemnities, and the State Indemnitees identified in ¶ XI(B) if it fails in any way to do so.

NVTC and PRTC shall each include the Commonwealth of Virginia, the CTB, VDOT, DRPT, and their officers, employees, and agents, (collectively “State Indemnitees”) as additional insureds on NVTC and PRTC’s insurance policies so the State Indemnitees are protected from and against any losses as defined in the DRPT MOADRPT-VDOT MOA.
