Statement Delivery Date definition

Statement Delivery Date means the later of (i) sixty (60) days after the Closing Date and (ii) thirty (30) days after Buyer and its Representatives are permitted access for two (2) days to Distributor’s facilities as necessary for Buyer and its Representatives to conduct an inventory count in accordance with the terms of the Distribution Agreement.
Statement Delivery Date shall have the meaning set forth in Section 3.4.3 hereof.
Statement Delivery Date has the meaning set forth in Section 1.7(b).

If a Termination Delivery Unit consists of property other than cash or New Shares and Counterparty provides irrevocable written notice to the Calculation Agent on or prior to the Closing Date that it elects to deliver cash, New Shares or a combination thereof (in such proportion as Counterparty designates) in lieu of such other property, the Calculation Agent shall replace such property with cash, New Shares or a combination thereof as components of a Termination Delivery Unit in such amounts, as determined by the Calculation Agent in its discretion by commercially reasonable means, as shall have a value equal to the value of the property so replaced. If such Insolvency, Nationalization, Merger Event or Tender Offer involves a choice of consideration to be received by holders, such holder shall be deemed to have elected to receive the maximum possible amount of cash.

  • Draft Closing Statement means a draft closing statement, prepared by Seller, as of the close of business of the third (3rd) business day preceding the Closing Date setting forth an estimated calculation of both the Purchase Price and the Estimated Payment Amount.

  • Delivery Time means the time for Delivery stated in the Purchase Order.

  • Delivery Schedule means the schedule for the delivery of Services as set forth in attached Annex 3.

  • Preliminary Closing Statement shall have the meaning set forth in Section 2.3(a).

  • Preliminary Settlement Statement shall have the meaning given such term in Section 3.2.

  • Share Delivery Quantity For any Settlement Date, a number of Shares, as calculated by the Calculation Agent, equal to the Net Share Settlement Amount for such Settlement Date divided by the Settlement Price on the Valuation Date for such Settlement Date.
