  • At such time as the Restrictive Stock Legend is no longer required to be borne by any shares of Common Stock issued upon the conversion of the Notes pursuant to Section 2.06(g) or otherwise, any shares of Common Stock issued upon conversion of the Notes shall bear an unrestricted CUSIP number.

  • Upon provision to the Company of such reasonably satisfactory evidence, the Company shall cause the transfer agent for the Common Stock to countersign and deliver certificates representing shares of Common Stock that do not bear the Restricted Stock Legend.

  • On the earlier to occur of (a) receipt by the Company of a duly executed Disposition Certificate, or (b) the Termination Date so required by Section 2.2 the Company shall, subject to applicable laws affecting the transfer of securities, permit the transfer, and, promptly instruct its transfer agent to issue within the time period specified in Section 2.2 one or more certificates without the Stock Legend in such name and in such denomination as specified by such Purchaser.

  • With respect to such share of Common Stock, until such time as the applicable Restricted Stock Legend is removed pursuant to Section 2.07(c) or 2.07(d) from such share of Common Stock, as the case may be, such restricted CUSIP will be the CUSIP numbers for such share of Common Stock.
