For the avoidance of doubt, below is an illustrative example: June 30, 2025 Stock Price - $3.00 ● Executive is granted 500,000 shares of Company common stock with standard 3-year vesting ● On June 30, 2026, Executive is entitled to 166,666 shares of Company common stock or the equivalent cash value on that date, for example: o If the stock price is $2.00, the Executive’s cash payment would be $333,333; or o If the stock price is $4.00, the Executives’ cash payment would be $666,666.
If a Stock Price Hurdle is not achieved by the applicable vesting date, then the shares subject to the portion of the Initial Equity Award that are subject to such hurdle shall remain outstanding and be eligible to vest on the next scheduled vesting date.
In the event of a termination of your employment due to your death or Disability (defined below), the Initial Equity Award, to the extent unvested, will vest in full for time vesting purposes, with the earned portion of the award to be determined based on the highest Stock Price Hurdle achieved as of the date of such termination of employment.
Any shares subject to a portion of the Initial Equity Award that is subject to a Stock Price Hurdle that is not achieved by March 8, 2028, shall be forfeited.
The Initial Equity Award shall be earned in three equal increments upon the attainment of the applicable Stock Price Hurdle (as defined below) and which shall vest in three equal annual installments beginning on March 8, 2026, subject to the achievement of the applicable Stock Price Hurdle as of each vesting date and your continuous employment with the Company or an affiliate through such vesting date and the terms and conditions of the GlobalShare Program and the applicable award agreement.
