Applicable Stock Price definition

Applicable Stock Price means, in respect of a Conversion Date, the average of the Closing Sale Prices per share of Common Stock over the five-Trading Day period starting the third Trading Day following such Conversion Date.

Applicable Stock Price means, for any Securities to be converted, the average of the Closing Sale Prices of the Common Stock over the applicable Cash Settlement Averaging Period.

Examples of Applicable Stock Price in a sentence

• No fractional shares will be issued upon conversion; in lieu thereof, an amount will be paid in cash based upon the Applicable Stock Price.

Applicable Stock Price has the meaning specified in Section 4.02(a).

Applicable Stock Price is equal to the average of the Closing Prices of the Common Stock over the five Trading Day period starting the third Trading Day following the Conversion Date of the Securities; provided that with respect to the Securities surrendered for conversion during the ten Trading Day period prior to the Maturity Date, the Applicable Stock Price shall be equal to the average of the Closing Prices of the Common Stock over the five-Trading Day period following the Maturity Date; and provided further that with respect to Securities surrendered for conversion in connection with a Make-Whole Fundamental Change, the Applicable Stock Price shall be determined on the basis of the Averaging Period set forth in Section 4.02(b). A Security for which a Holder has delivered a Fundamental Change Purchase Notice requiring the Company to purchase the Securities may be surrendered for conversion only if such notice is withdrawn in accordance with this Indenture.

Applicable Stock Price means the Ending Stock Price necessary to achieve the Stock Price Performance associated with a certain Payout Percentage.
