Subscription Contracts definition

Subscription Contracts means those written subscription and other agreements for Borrower’s products and/or consulting, training, implementation and support services (“Services”) that: (a) have been duly and properly executed and delivered by Borrower and each account debtor party thereto; (b) have been entered into in the ordinary course of Borrower’s business and consistent with past practice; and (c) are with a counter-party that is not an Affiliate of Borrower.
Subscription Contracts. All Contracts with subscribers to the CATV Business and all Contracts for bulk sales of CATV programming.
Subscription Contracts means the contracts between the Companies and third parties and the Subsidiaries and third parties for subscription to the Magazine Titles where there are obligations outstanding to supply Future Issues;

Examples of Subscription Contracts in a sentence

  • No Account Debtor under any of Borrower’s Subscription Contracts is located in a Prohibited Territory.

  • All Collateral is located solely in the Collateral States at the locations specified in the Collateral Information Certificate (or is Inventory in transit to or from such locations in the ordinary course of business), and at such other locations as may be timely disclosed in writing to Bank pursuant to Section 7.2. Borrower has not received notice of actual or imminent Insolvency Proceeding of any account debtor whose Subscription Contracts are included in the calculation of the Borrowing Base.

  • The Expiring Subscription Contracts exclude contracts that were originally due to expire between July 1, 2003 and December 31, 2003, but which Hit-Cap prior to June 30, 2003 and were therefore considered part of renewals for prior periods.

  • The numerator used to determine the Renewal Percentage shall be the aggregate of the face amounts of the contract values set forth in all such renewed customer subscription contracts (whether such renewal arises from an Expiring Subscription Contract or from a "Hit Cap" subscription contract), (collectively, the "Renewal Subscription Contracts", and the aggregate revenue therefrom the "Renewal Revenue").

  • Buyer will provide Supplier with List Prices for Subscription Contracts.

  • Buyer shall provide, at Buyer's expense, pre-sales training on Subscription Contracts and products for Supplier at Supplier's site.

  • The denominator used to determine the "Renewal Revenue" (as defined below) as a percentage of revenue arising from renewed Expiring Subscription Contracts and renewed Hit-Cap subscription contracts (the "Renewal Percentage") shall be the Expiring Contract Revenue plus the original subscription value of any contracts originally scheduled to expire subsequent to December 31, 2003, that Hit-Cap and are renewed between July 1, 2003 and December 31, 2003.

  • Buyer will provide Supplier with data feeds representing Customers who have not renewed their Subscription Contracts.

  • Supplier will provide a Customer contact center for Customers to contact Supplier by phone, fax, or e-mail to renew Subscription Contracts or obtain more information.

  • Supplier will have a List Price that they may use to provide quotes to Customers with respect to Subscription Contracts.

Refunds to your account How refunds can happen We may allow the recipient of your payment to: • Refuse to accept it. • Decide to accept it and then use our service to send you a refund of all or any part of the amount of the payment later. We will return the amount of any refused payment or refunded payment to your Balance. We will return the amount of an unclaimed payment to your balance within 30 days after the date you initiated the payment. If any amount of any payment is returned to you in any of the ways outlined above, we may convert the returned amount for you into either: • The currency of the balance you used for the original payment (before any conversion into the currency received by the recipient happened). • The opening currency of your account. • US dollars (opening a balance in that currency for you, if you don’t have one already). If the original payment you sent involved a currency conversion we will convert the returned amount from the currency received by the recipient as follows: • If the amount is returned within one day of the date of the original payment we will use our transaction exchange rate applicable on the date of the original payment, so that you receive the original amount in the original currency you converted for the original payment. • If the amount is returned after one day of the date of the original payment we will use and you agree to accept our transaction exchange rate applicable at the time of the conversion of the returned amount. The transaction exchange rate may be applied immediately and without notice to you. We may also automatically withdraw the returned amount from your Balance and transfer the funds back to the funding source you used for the original payment. Withdrawals can also involve a currency conversion – see the section on Withdrawing money above. Risks when receiving refunds The returned amount could be lower in value than your original payment amount. This can happen as a result of: • The recipient sending you a refund lower in value than your original payment amount. As we are only a payment service provider, we cannot know what you are entitled to from the original payment recipient as a refund or why the recipient sent the refund in a particular amount. • Transaction exchange rate fluctuations. PayPal is not responsible for any loss resulting from the recipient's decision to refuse or refund your payment, except to the extent that a refund sent by the recipient is a payment executed incorrectly by PayPal We are not liable to you for the difference between the value of your original payment and the value of the resulting refund, except to the extent that the refund is an incorrect payment (see the section on Resolving Problems).

  • Subscription Services means SAP’s then-current subscription services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • New Contracts means binding new agreements or amendments to existing agreements with customers.

  • Subscription Receipt Agreement means the subscription receipt agreement among the Corporation, the Investor and the Subscription Receipt Agent dated as of [●], 2023;
