Successor Major Transaction Conversion Share Amount definition

Successor Major Transaction Conversion Share Amount means an amount equal to the Black-Scholes Value of the Warrant (or such applicable portion subject to a Successor Major Transaction Conversion), divided by the closing price of the Common Stock on the principal securities exchange or other securities market on which the Common Stock is then traded on the Trading Day immediately preceding the date on which the applicable Major Transaction is consummated.
Successor Major Transaction Conversion Share Amount means an amount equal to (i) the Black-Scholes Value of this Warrant determined as of the date the applicable Successor Major Transaction is consummated divided by (ii) (x) the closing price of the Common Stock on the Principal Market (or such other principal securities exchange or inter-dealer quotation system on which the shares of Common Stock are then traded) on the Trading Day immediately preceding the date on which the applicable Successor Major Transaction is consummated or (y) in the event the Common Stock is not then quoted on the Principal Market or reported on any other national securities exchange or inter-dealer quotation system, the fair market value of one share of Common Stock calculated in accordance with Section 1.1(d), with the date of determination being the Trading Day immediately preceding the date on which the applicable Successor Major Transaction is consummated.

  • Conversion Share means any share of Common Stock issued or issuable upon conversion of any Note.

  • Make-Whole Fundamental Change Conversion Period has the following meaning:

  • Company Conversion Price means, as of any date of determination, the price which shall be the lower of (i) the applicable Conversion Price and (ii) that price computed as 90% of the arithmetic average of the Weighted Average Price of the Common Stock on each of the ten (10) consecutive Trading Days ending on the Trading Day immediately preceding the applicable Company Redemption Date (each a “Company Conversion Measuring Period”). All such determinations to be appropriately adjusted for any stock split, stock dividend, stock combination or other similar transaction that proportionately decreases or increases the Common Stock during such Company Conversion Measuring Period.

  • Conversion Amount means the sum of the Stated Value at issue.

  • Conversion Event means the cessation of use of (i) a Foreign Currency both by the government of the country which issued such currency and for the settlement of transactions by a central bank or other public institutions of or within the international banking community, (ii) the ECU both within the European Monetary System and for the settlement of transactions by public institutions of or within the European Communities or (iii) any currency unit (or composite currency) other than the ECU for the purposes for which it was established.
