Sukuk Certificates definition

Sukuk Certificates means the $400,000,000 certificates due 2023 of NMC Healthcare Sukuk Limited (in its capacity as issuer and in its capacity as trustee), including the transactions contemplated under the Transaction Documents (as defined in the Sukuk Certificates Trust Deed);

Sukuk Certificates means any sukuk certificates (and the assets underlying those sukuk certificates).

• On 2 June 2016, the Bank issued 2,000 Subordinated Sukuk Certificates (Sukuk) of SR 1 million each, with a profit distribution rate based on 6 month Saudi Inter-Bank Offered Rate (SIBOR), reset semi-annually in advance, plus a margin of 190 basis point per annum and payable semi- annually in arrears on 2 June and 2 December each year until 2 June 2026, on which date the Sukuk will expire.

• The New Sukuk Certificates will be documented under a declaration of trust with all necessary supporting documentation, including a purchase of services agreement, a service agency agreement and a purchase and sale undertaking.

• The declaration of trust will provide that the Company must [use reasonable endeavours to obtain the listing of the New Sukuk Certificates on the Singapore Exchange or otherwise on an internationally recognized, regularly operating, regulated or non-regulated, stock exchange (as reasonably determined by the Company) by no later than [90] days following the date of the Definitive Documents].

• Following the end of the Holding Period, the holding trust and the securities account holding the New Sukuk Certificates shall be liquidated and any remaining New Sukuk Certificates discharged.

• Sukuk Eligible Creditors will need to submit their bank details through account holder forms within a certain period after the Homologation Date that will be separately announced, in order to receive the New Sukuk Certificates, or with respect to Disqualified Sukuk Eligible Creditors such pro rata portion of the Net New Sukuk Cash Proceeds, to which they are entitled in proportion to their Claims.
