Supply Items definition

Supply Items means, collectively, the Major Turbine Components and Ancillary Parts and Equipment.
Supply Items has the meaning set forth in Section 6.1 (Development Supply).
Supply Items means the Turbines, including all Major Components and other components that comprise a Turbine, and all parts, materials, equipment and supplies that Turbine Supplier is obligated to provide pursuant to this Master Agreement and the applicable TPO.

Examples of Supply Items in a sentence

  • The Supply Items and SCADA System shall be new and unused and shall be free from Defects and free from defects in title.

  • Purchaser acknowledges that the technical, operation and maintenance, and other information it receives in connection with the Supply Items (including, without limitation, any and all firmware, software, Turbine Specifications, SCADA System Specifications, installation and operation and maintenance procedures, know-how and similar items) constitute trade secret information that is proprietary to Supplier.

  • Supplier hereby grants to Purchaser under Supplier’s trade secret rights, the non-exclusive right to use such trade secrets only in the installation and operation and maintenance of the Supply Items.

  • Purchaser shall be responsible for all loading and shipment of the Supply Items and SCADA System from their respective Designated Delivery Locations to the Project Site and shall pay for all costs and expenses incurred by Purchaser related thereto, including the costs of maintaining insurance on such Supply Item and SCADA System during shipment of such Supply Item and SCADA System from its respective Designated Delivery Location to the Project Site.

  • Purchaser shall be responsible for all sales and use tax and any other federal, state or local taxes imposed on the sale or use of the Supply Items and any services provided hereunder (collectively “Taxes”).

  • Other than the rights granted herein with respect to the Supply Items, Supplier expressly reserves all other patent rights, and Purchaser shall not have the right under Supplier’s patent rights to make, use, sell, offer for sale, or import any products or methods that infringe Supplier’s patents or to sublicense any of the foregoing rights.

  • If Purchaser fails to deliver to Supplier the Down Payment on or before the Down Payment Date, then Purchaser’s right to purchase and Supplier’s obligation to sell and Deliver the Supply Items and related Services shall terminate at the option of Supplier and be of no further force or effect, provided that Supplier shall first give Purchaser five (5) days written notice to afford Purchaser the opportunity to correct its performance.

  • All Supply Items shall be delivered Ex Works at the Designated Delivery Locations.

  • Supplier shall secure and pay for all Supplier Permits required for the Delivery of the Supply Items to the Designated Delivery Location.

Related to Supply Items

  • embedded generator means a generator who is not a market participant and whose generation facility is connected to a distribution system of a distributor, but does not include a generator who consumes more electricity than it generates;

  • Raw Materials means all raw materials, supplies, components and packaging necessary to manufacture and ship the Product in accordance with the Specifications, as provided in Exhibit A, but not including the API.

  • Manufacturing Costs means, with respect to a given AquaBounty Product, the full-time equivalent costs (under a reasonable accounting mechanism to be agreed upon by the Parties) and out-of-pocket costs that AquaBounty or any of its Affiliates incurred in manufacturing such products, including costs and expenses incurred in connection with (a) the development or validation of any manufacturing process, formulations or delivery systems, or improvements to the foregoing; (b) manufacturing scale-up; (c) in-process testing, stability testing and release testing; (d) quality assurance/quality control development; (e) internal and Third Party costs and expenses incurred in connection with qualification and validation of Third Party contract manufacturers, including scale up, process and equipment validation, and initial manufacturing licenses, approvals and inspections; (f) packaging development and final packaging and labeling; (g) shipping configurations and shipping studies; and (h) overseeing the conduct of any of the foregoing. “Manufacturing Costs” shall further include: (i) to the extent that any such AquaBounty Product is manufactured by a Third Party manufacturer, the out-of-pocket costs incurred by AquaBounty or any of its Affiliates to the Third Party for the manufacture and supply (including packaging and labeling) thereof, and any reasonable out-of-pocket costs and direct labor costs incurred by AquaBounty or any of its Affiliates in managing or overseeing the Third Party relationship determined in accordance with the books and records of such Party or its Affiliates maintained in accordance with US GAAP; and (ii) to the extent that any such AquaBounty Product is manufactured by AquaBounty or any of its Affiliates, direct material and direct labor costs attributable to such product, as well as reasonably allocable overhead expenses, determined in accordance with the books and records of AquaBounty or its Affiliates maintained in accordance with US GAAP.

  • Manufacturing Cost means ***
