The Administrative Agent or the Sustainability Structuring Agent, as applicable, may resign as Administrative Agent or Sustainability Structuring Agent, as applicable, upon ten days’ notice to the Lenders and the Borrower.

To the fullest extent permitted by law, each of the Parent REIT, the Borrower and the other Loan Parties hereby waives and releases any claims that it may have against the Administrative Agent, each Co-Syndication Agent, the Arrangers and the Sustainability Structuring Agent with respect to any breach or alleged breach of agency or fiduciary duty in connection with any aspect of any transaction contemplated hereby.
