Swiss Tax definition

Swiss Tax means any tax, levy, impost, duty or other charge or withholding of a similar nature (including any related penalty or interest payable in connection with any failure to pay or any delay in paying the same).

  • The GE Entities will not knowingly effect any portion of the Leuk Workforce Reduction that would breach the Swiss tax holiday until after the Swiss Tax Ruling is obtained, provided that (i) it is apparent that the Swiss Tax Ruling will ultimately be obtained and (ii) the delay need not extend more than 90 days after the Closing Date.

  • The GE Entities agree that SES or its Affiliates shall negotiate the Swiss Tax Ruling after Closing if it has not been obtained prior to Closing.

  • The Company and its counsel shall be given a reasonable opportunity to review and timely comment on the request for the Swiss Tax Rulings and any amendments thereto prior to filing of any request for any Swiss Tax Ruling with the competent Swiss Taxing Authorities and Parent shall give due consideration to all reasonable additions, deletions or changes suggested thereto by the Company and its counsel.

  • Subject to this Section 9.1(b), the Seller will control and be responsible for the filing of the Swiss Tax Rulings and the submission of any information, documentation, responses or communication with the Swiss Tax Authority relating thereto.

  • The Parent shall prepare and file a request for the Swiss Tax Rulings.

  • Each Obligor shall at all times comply with all Swiss Tax Non-Bank Rules other than the Swiss Tax Ten Non-Qualifying Bank Creditor Rule provided that no Obligor shall be in breach of this undertaking if the relevant number of creditors is exceeded solely by reason of a breach by one or more Lenders of Clause 24.1 (Transfers by the Lenders) or Clause 24.2 (Conditions of transfer).

  • The parties hereto shall therefore cooperate in good faith and supply promptly any information and documentary material that may be reasonably requested by a respective legal advisor to prepare the Swiss Tax Rulings and any additional information and documentary material that may be reasonably requested by the Swiss Federal Tax Administration and/or the Cantonal Tax Administration as applicable, in order to obtain the Swiss Tax Rulings within the shortest possible time after the date of this Agreement.

Related to Swiss Tax

  • Swiss Withholding Tax means any withholding tax in accordance with the Swiss Federal Statute on Anticipatory Tax of 13 October 1965 (Bundesgesetz uber die Verrechnungssteuer) and any successor provision, as appropriate.

  • Swiss Guarantor means any Guarantor incorporated or organized under the laws of Switzerland.

  • Swiss Federal Tax Administration means the tax authorities referred to in article 34 of the Swiss Withholding Tax Act.

  • Swiss Withholding Tax Act means the Swiss Federal Act on the Withholding Tax of October 13, 1965 (Bundesgesetz über die Verrechnungssteuer), together with the related ordinances, regulations and guidelines, all as amended and applicable from time to time.

  • FATCA Withholding Tax means any withholding or deduction required pursuant to FATCA.
