If the Target Closing Date Net Working Capital exceeds the Closing Date Net Working Capital asstated on the Final Statement, then Seller shall pay to Buyer an amount equal to such excess, by wire transfer of immediately available funds to the account designated in writing by Buyer, within five (5) Business Days after the date on which the FinalStatement is determined.
Notwithstanding anything herein to the contrary, in no event shall the dollar amount of the Target Closing Date Net Working Capital be subject to adjustment for any reason in connection with any calculation under this Article II or otherwise.
