Target Debt Repayment definition

Target Debt Repayment means the repayment of, termination of all commitments under and the discharge and release of all security and guarantees in respect of the following debt instruments of the Acquired Business: (a) the Credit Agreement, dated as of April 27, 2018, entered into with Comvest Capital IV, L.P., Crystal Financial LLC and the lenders party thereto, (b) the Third Amended and Restated Promissory Note, dated as of April 27, 2018, entered into with Axxxx Xxxxxx and (c) the Amended and Restated Promissory Note, dated as of April 27, 2018, entered into with Axxxxx Xxxxxx and subsequently assigned to Axxxx Xxxxxx.

Related to Target Debt Repayment

  • Debt Repayment means the repayment, prepayment, repurchase or defeasance of the Indebtedness of the Borrower under the Indebtedness that is identified on Schedule 1.1(g) to the Original Credit Agreement and that is repaid, prepaid, repurchased or defeased on the Original Closing Date (or such later date as may be necessary to effect the Debt Repayment in accordance with the tender offers therefor).
