Target Maximum Working Capital definition

Target Maximum Working Capital means $120,000,000.
Target Maximum Working Capital means an amount equal to $721,956,000, representing a baseline target Working Capital amount of $656,324,000 plus 10% of such baseline amount, as may be adjusted pursuant to Section 5.10(e).
Target Maximum Working Capital means an amount equal to $6,010,000.

  • For the avoidance of doubt, in the event the Estimated Working Capital is equal to or greater than the Target Minimum Working Capital and is equal to or less than the Target Maximum Working Capital, then no adjustment shall be made to the cash portion of the Merger Consideration pursuant to this Section 2(h).
