Target Net Sales definition

Target Net Sales shall be for the Performance Period.
Target Net Sales means the product obtained by multiplying the Target Patients by the Treatment Dosing by the Net Selling Price of the Product.
Target Net Sales means the sum of (i) $11,750,000, plus (ii) the Net Sales to Customers by the Purchaser and the Xxxxxxxx Xxxxxx Dental division of HSI ("Xxxxxxxx Schein") during the Reference Year (it being agreed that, for the applicable period, all sales to Customers by sales representatives of the Seller who are hired by the Purchaser in connection with the closing of the transactions contemplated by this Agreement shall be attributed to Xxxxxxxx Schein).

Licensee shall identify separately in the statements provided to Licensor pursuant to paragraph 7 hereof, all sales to affiliates. At least once annually and no later than 90 days after the close of Licensee's fiscal year, Licensee shall furnish to Licensor a statement of the Net Sales Price of all Licensed Products sold during the year just ended, which shall be certified by the independent auditor for Licensee as correct and in accordance with the terms of this Agreement.
