Target Threshold definition

Target Threshold means the Company Performance Metric Threshold established for a Company Performance Metric, the achievement of which would result in payment to Participants in an amount equal to one hundred percent (100%) of the Target Award designated for that particular Company Performance Metric. Because a Plan Year can be part of multiple Performance Cycles, multiple and different Target Thresholds may be established for the same Company Performance Metric for the same Plan Year.
Target Threshold means 100% of the performance metric has been achieved.
Target Threshold is defined on Schedule 1.

  • Percentile Performance Payout (percentage of Target) Threshold: 30th 50% Target: 50th 100% Maximum: 80th or more 200% If achievement with respect to TSR occurs at a level between the above Threshold and Target levels of achievement, or between the Target and Maximum levels of achievement, then the percentage of the payout that becomes earned and vested shall be interpolated between the percentages set forth in the table above on a straight-line basis.

  • Notwithstanding anything herein to the contrary, the Board has reserved the right to reduce the amount of the settlement of a vested PRSU by up to 20% of the vested amount of the PRSU at Target Threshold, as reflected in Exhibit A, or a vested TRSU by up to 20% of the vested amount.

  • The number of Restricted Stock Units granted under this Award Agreement that actually vest and that will be settled shall be determined as provided under Section 1.1 hereof on the basis of the level (i.e., Target, Threshold or Stretch) at which the Performance Goal specified on attached Schedule I is actually attained.

More Definitions of Target Threshold

Target Threshold has the meaning specified in Section 1.6(a)(i).
Target Threshold means the product of $15,050,000 and a fraction, the numerator of which shall be the number of days in the Initial Stub Period and the denominator of which shall be three hundred sixty-five (365); and

Related to Target Threshold

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • Bid threshold means the dollar amount set in N.J.S.A. 18A:18A-3, above which a Board shall advertise for and receive sealed bids in accordance with procedures set forth in N.J.S.A. 18A:18A-1 et seq.

  • Stated Threshold means total losses under the shared loss agreements in the amount of $41,000,000.00.

  • Threshold means with respect to Party B: infinity.

  • Minimum Takedown Threshold shall have the meaning given in Section 2.1.4.

  • Ownership Threshold means, with respect to any Person, Beneficial Ownership of the greater of (A) 15% of the Common Shares at any time outstanding or (B) the percentage of the outstanding Common Shares Beneficially Owned by such Person on the date of this Rights Agreement, plus in the case of this clause (B) 1% of the Common Shares outstanding on such date.

  • Indemnity Threshold has the meaning set forth in Section 9.3.

  • M2 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 81.50% and (ii) the Pool Balance for such Distribution Date and (b) the amount, if any, by which (i) the Pool Balance for such Distribution Date exceeds (ii) 0.50% of the Cut-off Date Balance.

  • M4 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 84.30% and (ii) the Aggregate Pool Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (i) the Aggregate Pool Balance for such Distribution Date determined as of the last day of the related Collection Period exceeds (ii) the Targeted Overcollateralization Amount.

  • VWAP Minimum Price Threshold means, with respect to any particular VWAP Purchase Notice, the Sale Price on the VWAP Purchase Date equal to the greater of (i) 80% of the Closing Sale Price on the Business Day immediately preceding the VWAP Purchase Date or (ii) such higher price as set forth by the Company in the VWAP Purchase Notice.

  • Senior Target Amount With respect to each Distribution Date, an amount equal to the lesser of (a) the product of (i) 77.30% and (ii) the Aggregate Loan Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (i) the Aggregate Loan Balance for such Distribution Date determined as of the last day of the Collection Period exceeds (ii) 0.50% of the Cut-off Date Balance.

  • Micro-purchase threshold means the dollar amount at or below which a district may purchase property or services using micro-pur- chase procedures. Generally, the micro-purchase threshold for pro- curement activities administered under federal awards is not to ex- ceed the amount set by the Federal Acquisition Regulations (FAR) at 48 C.F.R. Part 2, Subpart 2.1 [see below], unless a higher threshold is requested by the district and approved by the cogni- zant agency for indirect costs.

  • Target Amount is defined in Section 4.3(b)(i).

  • Restoration Threshold means an amount equal to 5% of the outstanding principal amount of the Loan.

  • Target EBITDA means, for each fiscal year, the EBITDA set forth in the operating budget of the Company, as approved by the Board, for the particular year.

  • Initial Dividend Threshold shall have the meaning specified in Section 14.04(d).

  • Target Value shall have the meaning stated in Section 7.2 of Schedule D to this Agreement.

  • Materiality Threshold means limits for related party transactions beyond which the shareholders' approval will be required as specified in Companies Act, 2013 and rules thereof and amendments thereto.

  • stipulated minimum threshold means that portion of local production and content as determined by the Department of Trade and Industry; and

  • Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).
