Tax Escrow Balance means the amount of funds available pursuant to the Tax Escrow Agreement to be distributed after payment of all sums due to Siemens and the Tax Escrow Agent at the end of the Tax Matters Escrow Period.

  • Escrow Amount has the meaning set forth in Section 2.1(c).
