Each Lender (other than a Treaty Lender) that is not a Belgian resident shall promptly inform the Borrower and the Agent if the Tax Status Certificate no longer reflects the status of such Lender, unless the change in such Lender’s status is due to any change in any law or Treaty, or any published practice or concession of any relevant taxing authority.
Each other Lender shall comply with its obligation to deliver a Tax Status Certificate to the extent required under Clause 23.2(f) and where such obligation applies, it represents to the other parties hereto that as at the date of the Tax Status Certificate that it is a Qualifying Lender.
Such Lender shall certify (i) in the case of a Form 1001 or 4224, that it is entitled to receive payments under this Agreement without deduction or withholding of any United States federal income taxes, (ii) in the case of a Tax Status Certificate, that it is not a "bank" as such term is defined in Section 881(c)(3)(A) of the Code, and (iii) in the case of a Form W-8 or W-9, that it is entitled to an exemption from United States backup withholding tax.
Upon receipt of such notice and Tax Status Certificate, wherever the word “Purchaser” is used in this Agreement (other than in this Section 21), such word shall be deemed to refer to such Affiliate in lieu of such original Purchaser.
