Investor Bonds shall be secured by a pledge of all Tax Increment representing the Developer Share and, if necessary to sell the Investor Bonds, by a Debt Service Reserve and/or a Taxpayer Agreement.
The Taxpayer's limitations and obligations under this Taxpayer Agreement shall terminate and be deemed fully performed and all liability hereunder shall cease after the first to occur of: (a) payment in full of the Bonds (excluding payment of Bonds, in whole or in part, by the issuance of a new obligation or the issuance of refunding bonds); or (b) a period of twenty-five (25) years ("Maximum Term"), beginning on the date of issuance of the Bonds.
As soon as the Deposit Trustee determines that the deposit required by this Section 5(c) from the sources listed in (i) through (iii) above will not be made, the Deposit Trustee shall provide written notice to the RDC and the Developer of the necessity that the Developer make a taxpayer payment under the Taxpayer Agreement.
Nothing in this Agreement or the Taxpayer Agreement shall be deemed to release Company from any obligation to pay Real Estate Taxes or Assessments on the Mixed-Use Parcel regardless of when payable or assessed.
The indemnity provided by this Section 3.5 shall survive the resignation or removal of the Trustee and the termination of the Indenture, the Taxpayer Agreement and this Financing Agreement.
