Telephonic Notice definition

Telephonic Notice means a notice by telephone given on behalf of the Borrower by one of the persons listed on Schedule 1.1B.
Telephonic Notice means informing an individual by speaking directly to the individual on the telephone, but does not include a message left on a recording device or with another individual.

  • Promptly after receipt of a Notice of Borrowing (or Telephonic Notice in lieu thereof), the Administrative Agent shall notify each Lender of the proposed Borrowing in writing, or by telephone promptly confirmed in writing.

  • Neither the Administrative Agent nor the Lender shall incur any liability to the Borrower in acting upon any Telephonic Notice referred to above that the Administrative Agent believes in good faith to have been properly given or for otherwise acting in good faith under this Section 2.8 and, upon conversion/continuation by the Administrative Agent in accordance with this Agreement pursuant to any Telephonic Notice, the Borrower shall have effected a conversion/continuation of Loans hereunder.

  • Electronic Notice shall be deemed written notice for purposes of this Section 13 if sent to the electronic mail address specified by the receiving party under separate cover. Electronic Notice shall be deemed received at the time the party sending Electronic Notice receives verification of receipt by the receiving party. Any party receiving Electronic Notice may request and shall be entitled to receive the notice on paper, in a nonelectronic form (“Nonelectronic Notice”) which shall be sent to the requesting party within ten (10) days of receipt of the written request for Nonelectronic Notice.

  • telephonic or electronic means means any means that uses the telephone or any other electronic or other technological means to transmit information or data, including telephone calls, voice mail, fax, e-mail, automated touch-tone telephone system, computer, or computer networks; and
