Tender Agent definition

Tender Agent means, with respect to each Group of 2024 Series A Variable Rate Bonds, The Bank of New York Mellon, a New York banking corporation, and its successors and any corporation resulting from or surviving any consolidation or merger to which it or its successors may be a party, or any successor Tender Agent appointed in accordance with the terms of this Supplemental Resolution.

Tender Agent means the Fiscal Agent and any additional Tender Agent appointed by the City.

Examples of Tender Agent in a sentence

• Any documents related to a withdrawal will be deemed delivered only when actually received by the Tender Agent.

• None of the Fund, the Depositary, the Tender Agent, or any other person will be under any duty to give notice of any defects or irregularities in any tender, or incur any liability for failure to give any such notice.

• It is understood and agreed that all payments payable by Company under this subsection (a) of Section 5.1 are assigned by the Issuer to the Trustee, the Paying Agent and the Tender Agent, as applicable, for the benefit of the Bondholders.
